III. Membership and Voting Rights
3.1. Function of Association
The Association shall be the entity responsible for the management, maintenance, operation, and control of the Area of Common Responsibility. The Association shall be the primary entity responsible for enforcement of the Governing Documents. The Association shall perform its functions in accordance with the Governing Documents and the laws of the State of Georgia.
3.2. Membership
Every Owner shall be a Member of the Association. There shall be only one membership per Unit. If a Unit is owned by more than one Person, all co-Owners shall share the privileges of such membership, subject to reasonable Board regulation and the restrictions on voting set forth in Section 3.3 and in the By-Laws, and all such co-Owners shall be jointly and severally obligated to perform the responsibilities of Owners. The membership rights of an Owner which is not a natural person may be exercised by any officer, director, partner, or trustee, or by the individual designated from time to time by the Owner in a written instrument provided to the Association’s Secretary. Membership shall be appurtenant to and may not be separated from ownership of a Unit. Nothing in this Section shall restrict the number of votes cast or the number of the officers and directors appointed by the Declarant.
3.3. Voting
Members shall be entitled to one vote for each Unit owned. When more than one Person holds an ownership interest in any Unit, the vote for such Unit shall be exercised as those Owners themselves determine and advise the Association’s Secretary prior to any meeting. The Unit’s vote shall be suspended in the event more than one Person seeks to exercise it. The Board of Directors may suspend the voting rights of an Owner for any period during which any past due assessment against any Unit remains unpaid and for a reasonable period of time for an infraction of the Declaration, Bylaws or rules and regulations of the Association.
